Provisions & Clauses for Commercial Items

FAR Part 12 simplified the clause game. Know what is a provision, what is a clause, and what survived the FAR Overhaul. Then use the matrix to build your solicitation and contract.

Selecting Provisions and Clauses

Provisions go in your solicitation. Clauses go in your contract. 52.212-4 is the only clause that survived the FAR Overhaul in one piece. Learn the difference, then use the matrix.

1 Provisions vs. Clauses

Before you touch the 52.212 series, understand the difference between these two terms because they are not interchangeable.

A provision is a term or condition that applies only to the solicitation phase. It tells offerors the rules of the game before they submit. Once the contract is awarded, provisions fall away. They served their purpose.

A clause is a term or condition that becomes part of the contract. It survives award and governs the relationship between the Government and the contractor during performance.

Why does this matter? Because when you are building a commercial solicitation, you need to know which 52.212 documents are provisions (solicitation only) and which are clauses (contract). Mixing them up leads to confusion about what actually binds the contractor after award.

Contract Terms and Conditions. The foundation clause. Goes in the contract AND solicitation.

52.212-1 and -2 are provisions. They go in the solicitation and do their work before award. 52.212-4 is a clause. It lives in the contract and binds the contractor during performance. 52.212-4 also appears in the solicitation so offerors know what contract terms they are agreeing to.
What about 52.212-3 and 52.212-5? They did not survive the FAR Overhaul. Representations and certifications are now handled through SAM and the individual provisions prescribed in Table 12-2. Statutory requirements that were in 52.212-5 are now incorporated through the individual clauses in Table 12-3. You will not see 52.212-3 or 52.212-5 in a post-RFO solicitation.

2 52.212-4: The Only Clause That Survived

The FAR Overhaul restructured commercial acquisitions significantly. But 52.212-4 came through intact. It is still the foundation clause for every commercial contract, and it already contains most of what you need for contract administration.

What is built into 52.212-4: Inspection and acceptance. Payment terms and invoice requirements. Assignment rules. The Disputes clause (Contract Disputes Act). Excusable delays. Termination for cause. Termination for the Government's convenience. Warranty provisions. Compliance with laws unique to Government contracts.

Before you add any clause, ask: does 52.212-4 already cover this? New contracting officers often add separate inspection clauses, separate disputes clauses, or separate payment clauses that 52.212-4 already handles. If 52.212-4 covers it, stop. You only add clauses when 52.212-4 leaves a gap for your specific requirement.

Tailoring: You can tailor 52.212-4 to reflect customary commercial practice, but certain paragraphs are locked. The paragraphs on Assignments, Disputes, Payment, Invoice, Compliance with laws unique to Government contracts, Unauthorized obligations, and Comptroller General examination of records implement statute and cannot be tailored.

Alternate I: If you are awarding a time-and-materials or labor-hour contract, use 52.212-4 with Alternate I. This adds the T&M/LH-specific terms that the base clause does not cover.


3 Beyond 52.212-4: FAR 12.205

52.212-1, -2, and -4 are your foundation. But they are not the whole picture. FAR 12.205 prescribes additional provisions and clauses that may apply to your commercial acquisition depending on the specific circumstances.

FAR 12.205(a) covers required provisions (Table 12-2). These are solicitation provisions beyond 52.212-1 and -2 that you include when their prescription is met. Things like SAM registration, Buy American certificates, and various statutory certifications.

FAR 12.205(b) covers required clauses (Table 12-3). These are contract clauses beyond 52.212-4 that you include when applicable. Small business set-asides, service contract labor standards, equal opportunity for veterans, and many more.

Then there are special cases from other FAR parts that prescribe clauses for specific situations: options (Part 17), construction (Part 36), government property (Part 45), contract types (Part 16), and data rights (Part 27).

Special Cases: Clauses from Other FAR Parts

The tables above cover FAR 12.205 prescriptions. But depending on your specific acquisition, you may also need clauses prescribed by other FAR parts. These are separate from Table 12-3 and require you to look at the specific part for the full prescription.

Part 16: Contract Types Clauses specific to certain contract types (T&M, labor-hour, cost-type). See FAR 12.104.
Part 17: Options If your contract includes option years or quantities, you need options clauses (e.g., 52.217-8, 52.217-9). 52.212-4 does not give you the mechanism to exercise options.
Part 27: Data Rights When you need to delineate rights in technical data or computer software. See FAR 12.106.
Part 36: Construction Commercial construction contracts require additional clauses from Part 36 (Davis-Bacon, bonds, etc.).
Part 45: Government Property If the Government is furnishing property to the contractor for use in performance, you need Government property clauses.

Part 17: Options Clauses

If your contract includes option years or option quantities, you need these clauses. 52.212-4 does not give you the mechanism to exercise options. The evaluation provisions tell offerors whether options will be evaluated as part of the award decision.

Part 36: Construction Clauses

Commercial construction contracts require additional clauses from FAR Part 36 and the Davis-Bacon wage rate clauses from Part 22. If the contract exceeds the thresholds for performance and payment bonds, you need those too.

A Note on DFARS Clauses

This training focuses on FAR clauses. DFARS clauses change frequently enough that listing them all here would risk being out of date by the time you read this. However, there is one DFARS clause you will use on virtually every DoD contract:

252.232-7006, Wide Area WorkFlow Payment Instructions. This clause tells the contractor how to submit invoices through WAWF (now part of the Invoicing, Receipt, Acceptance and Property Transfer system, or iRAPT). If you are doing DoD contracting, do not forget this one.

More complex DFARS clauses exist, such as 252.232-7007, Limitation of Government's Obligation (LOGO), which applies to incrementally funded contracts. But that is a training for another time.
